Governance

FACT  is a company limited by guarantee, incorporated on 29th November 2011 and registered as a charity on 25th June 2014. The company’s objects and governance structure are set out  in its Articles of Association.

Members

Members of the company are local people and others who have an interest in our work, who apply for membership. Membership is free. Our categories of membership are:

  • Ordinary members are individuals aged 16 or over who are resident in the Forres Academy catchment
  • Associate members are individuals aged 16 or over who are not resident within the Forres Academy catchment area, or organisations that support the work of FACT
  • Junior members are young people aged 12 to 15 years who live within the Forres Academy catchment

Members nominate and elect people to serve as our Directors, normally at our Annual General Meeting. 

Directors

The company has a board of directors of up to fifteen members, a third of which are elected each year. They are a dedicated group of volunteers, they do not get paid and receive no financial or other benefits from the charity for their work and commitment. The board of directors works to reflect the make-up, needs and interests of the local community, both trying to achieve a representative mix of our residents, and ensuring it includes  the range of expertise needed to run the company effectively. 

The Directors, who are also charity trustees,  meet on a monthly basis to direct the work of FACT. They are legally responsible for ensuring that the statutory requirements on companies and charities, as applicable to FACT, are met.   They are responsible for three core functions:

  • Ensuring clarity of vision, ethos and strategic direction and that the work carried out is for  the benefit of the community in the Forres Academy catchment area;
  • Holding staff to account for the work and performance of the company ; and 
  • Overseeing the financial performance of the company  and making sure its money is well spent.

The role of the Directors is key to the effectiveness of FACT and our drive to be good in all that we do. In addition to meeting our duties, we fully support the 7 Nolan Principles for public life in how we operate our governance. These are:

Staff

Our staff are drawn from the local area and make up a dynamic team of leaders, specialists and support staff. They are recruited for their talents to lead and deliver projects that help us meet our objects.
